1. Acceptance of Terms

By accessing and using the services provided by Stirling Jones Solutions ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Provided

Stirling Jones Solutions provides software development services including but not limited to:

  • AI development and machine learning solutions
  • API development and integration
  • ERP system development and customization
  • Cloud architecture and infrastructure
  • Workflow automation and system integration
  • Custom software development

3. Service Agreements

All projects require a separate written agreement that outlines the specific scope of work, deliverables, timelines, and fees. These Terms of Service are supplementary to any project-specific agreements.

4. Intellectual Property

4.1 Client-Owned IP

Upon full payment, the client owns all custom code and deliverables specifically created for their project, unless otherwise agreed in writing.

4.2 Company-Owned IP

We retain ownership of our proprietary tools, frameworks, libraries, and pre-existing intellectual property used in the development process.

4.3 Open Source

Projects may incorporate open-source components subject to their respective licenses. We will clearly identify any such components.

5. Payment Terms

  • Payment terms will be specified in the project agreement
  • Invoices are typically due within 14 days unless otherwise agreed
  • Late payments may incur interest charges
  • We reserve the right to suspend services for non-payment
  • Refund policies are specified in individual project agreements

6. Client Responsibilities

Clients agree to:

  • Provide timely feedback and approvals
  • Supply necessary information, access, and materials
  • Ensure authorized representatives approve deliverables
  • Maintain confidentiality of access credentials
  • Use our services in compliance with applicable laws

7. Confidentiality

We treat all client information as confidential and will not disclose it to third parties except as necessary to provide services, comply with legal obligations, or with explicit client consent.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner in accordance with industry standards.

8.2 Disclaimer

Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Stirling Jones Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability shall not exceed the amount paid by the client for the specific services giving rise to the claim.

10. Project Delays

Timelines are estimates. We are not liable for delays caused by circumstances beyond our reasonable control, including but not limited to client delays in providing feedback, materials, or approvals.

11. Termination

Either party may terminate a project agreement by providing written notice as specified in the project agreement. Upon termination:

  • Client must pay for all work completed up to the termination date
  • We will provide all work completed to date
  • Confidentiality obligations continue after termination

12. Support and Maintenance

Post-launch support and maintenance services are available separately and are not included in the initial development unless explicitly stated in the project agreement.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of the modified terms.

16. Severability
